Terms of Service
Effective date: March 7, 2026
1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “Customer”) and Viatoris AI (“Viatoris,” “we,” “us,” or “our”).
By creating an account, accessing, or using the Viatoris platform, you agree to be bound by these Terms. If you are using Viatoris on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the service.
2. Description of Service
- Viatoris provides trust infrastructure for AI agents, including: cryptographic identity (DID-based passports), signed action receipts, compliance profile management, reputation scoring, and verification APIs
- The service is provided via API endpoints and a web-based dashboard at viatoris.ai
- We may modify, update, or discontinue features with reasonable notice
3. Account Registration and Security
- You must provide accurate, complete, and current information during registration
- You are solely responsible for maintaining the confidentiality of your account credentials, API keys, and cryptographic private keys
- You must notify us immediately of any unauthorized access to your account
- One organization account per legal entity unless otherwise agreed in writing
- You must be at least 18 years old to use Viatoris
4. Acceptable Use
You agree not to:
- Use Viatoris for any unlawful purpose or in violation of any applicable law or regulation
- Attempt to circumvent security measures, rate limits, authentication mechanisms, or access controls
- Interfere with or disrupt the integrity or performance of the service or other users' data
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the service
- Use the service to store, transmit, or process content that infringes third-party intellectual property rights
- Use automated means to access the service in excess of your tier's rate limits
- Sublicense, resell, or redistribute access to the service without prior written agreement
5. API Usage and Rate Limits
- API access is subject to rate limits and usage quotas based on your subscription tier
- You must keep API keys and cryptographic private keys confidential and secure
- You are responsible for all activity that occurs under your API keys
- We reserve the right to throttle or suspend API access for abuse, excessive usage, or to maintain service stability
- Programmatic access must comply with our published API documentation
6. Data Ownership and Receipts
- Your data: You retain all ownership rights to data you submit to Viatoris, including agent metadata, configuration, and input data
- Signed receipts: Signed action receipts are cryptographically immutable audit records by design. Once submitted and signed, receipts cannot be modified or deleted. This immutability is a core feature of the platform's audit integrity. In the event of an account deletion request, we will delete your account information and agent configurations; however, signed receipts may be retained in anonymized or pseudonymized form to preserve the integrity of the audit chain, consistent with our legitimate interest in maintaining a trustworthy audit system
- Generated identifiers: Agent DIDs and cryptographic key pairs generated through the service are yours to use
- License to us: You grant Viatoris a limited, non-exclusive license to process, store, and display your data solely as necessary to provide and improve the service
- Aggregate data: We may use anonymized, aggregated data that does not identify you or your organization for analytics and service improvement
7. Subscription, Billing, and Payment
- A free tier is available with published usage limits
- Paid subscriptions (Developer, Pro, Enterprise) are billed monthly in advance
- All fees are stated in US dollars and are non-refundable except as required by law
- Prices are subject to change with at least 30 days prior written notice
- Failure to pay may result in suspension or downgrade of your account
- Enterprise pricing and terms may be negotiated under a separate agreement
8. Service Availability
- We use commercially reasonable efforts to maintain high availability of the platform
- We do not guarantee specific uptime percentages unless agreed in a separate Service Level Agreement (SLA)
- We may perform scheduled maintenance with reasonable advance notice
- Enterprise customers may negotiate dedicated SLAs
9. Intellectual Property
- The Viatoris platform, including its software, APIs, documentation, trademarks, and visual design, is the exclusive property of Viatoris AI and is protected by applicable intellectual property laws
- “Viatoris” and the Viatoris logo are trademarks of Viatoris AI. You may not use our trademarks without prior written permission
- These Terms do not grant you any rights to our intellectual property except the limited right to use the service as described herein
10. Indemnification
You agree to indemnify, defend, and hold harmless Viatoris AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the service, (b) your violation of these Terms, (c) your violation of any applicable law, or (d) the actions of AI agents you register with the platform.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. VIATORIS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) VIATORIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES; (B) VIATORIS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO VIATORIS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; (C) VIATORIS IS NOT RESPONSIBLE FOR THE ACTIONS, OUTPUTS, OR BEHAVIOR OF AI AGENTS REGISTERED ON THE PLATFORM. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY.
13. Termination
- You may close your account at any time by contacting jared@viatoris.ai
- We may suspend or terminate your account immediately if you violate these Terms, engage in abusive behavior, or fail to pay applicable fees
- Upon termination, your right to access the service ceases immediately
- Data retention and deletion after termination follow the timelines in our Privacy Policy and your subscription tier
- Provisions that by their nature should survive termination (including Sections 6, 10, 11, 12, 14, and 15) shall survive
14. Dispute Resolution
- Informal resolution: Before filing any formal legal action, you agree to contact us at jared@viatoris.ai and attempt to resolve the dispute informally for at least 30 days
- Governing law: These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles
- Jurisdiction: Any legal action arising out of these Terms shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to personal jurisdiction in such courts
15. General Provisions
- Severability: If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect
- Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Viatoris regarding the service and supersede all prior agreements
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision
- Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction
- Force majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, war, terrorism, pandemics, labor disputes, government actions, or internet or infrastructure failures
- Notices: We may send notices to you via email to the address associated with your account. You may send notices to us at jared@viatoris.ai
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide at least 30 days prior notice via email or prominent notice on the platform. Your continued use of the service after the effective date of any updated Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using the service and close your account.
